Terms of Use

This End-User License Agreement and Terms of Use ("Agreement") governs access to and use of the Bookkeeping AI Agent ("the App"), operated by Support Your Goals LLC and its affiliated entities, including Sognare Group (collectively, the "Operator"). By accessing or using the App, the user ("you") agrees to this Agreement. The Bookkeeping AI Agent is a private, internal-use application operated by the Operator for its own bookkeeping and financial operations. It is not sold, licensed, or distributed to the public.

1. License Grant

Subject to this Agreement, the Operator grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for the Operator's internal bookkeeping and financial-management purposes in connection with QuickBooks Online company files owned and authorized by the Operator.

2. Acceptable Use

You agree not to: (a) use the App for any unlawful purpose or in violation of any applicable law or regulation; (b) access accounting data belonging to any company you are not authorized to access; (c) attempt to reverse engineer, disrupt, or gain unauthorized access to the App or its underlying systems; or (d) use the App in any manner that violates Intuit's applicable terms, including the Intuit Developer Terms of Service and QuickBooks API requirements.

3. QuickBooks and Intuit Integration

The App integrates with QuickBooks Online through Intuit's authorized API. Your use of QuickBooks and Intuit services remains subject to Intuit's own terms and policies. The App accesses Intuit data only as authorized by the Operator through Intuit's OAuth authorization flow, and only to the extent necessary to perform the internal bookkeeping functions described in the accompanying Privacy Policy.

4. Data and Privacy

The App's handling of information is described in the Privacy Policy, which is incorporated into this Agreement by reference. You are responsible for ensuring that any data made available to the App may lawfully be processed for the purposes described.

5. Intellectual Property

The App, including its configuration, workflows, and associated materials, is and remains the property of the Operator. No rights are granted except the limited license expressly set out in this Agreement.

6. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The App supports bookkeeping activities but does not constitute accounting, tax, legal, or financial advice. The Operator relies on its qualified professionals (such as a CPA) for such advice. Output generated with the assistance of automation or artificial intelligence should be reviewed for accuracy before it is relied upon.

7. Limitation of Liability

To the maximum extent permitted by law, the Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or relating to use of the App.

8. Termination

The Operator may suspend or terminate access to the App at any time. Upon termination, the license granted under this Agreement ends and you must cease all use of the App. Connected QuickBooks companies may be disconnected at any time, revoking the App's access.

9. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.

10. Changes to This Agreement

The Operator may update this Agreement from time to time. Continued use of the App after changes take effect constitutes acceptance of the revised Agreement. Material changes will be reflected by updating the Effective date above.
